Terms of Service

The agreement between you and LocusAI governing use of our platform

1. Agreement and parties

These Terms of Service ("Terms") form a legally binding agreement between you ("Customer", "you") and LocusAI ("LocusAI", "we", "us"). "You" means the individual or organisation accessing or using our platform.

By creating an account or using any part of the LocusAI platform, you confirm that you have read, understood, and agree to these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity.

2. The service

LocusAI provides an AI-powered receptionist platform that enables businesses to handle inbound phone calls, web chat, and SMS conversations, book appointments, and manage customer interactions through artificial intelligence.

The platform includes: AI voice receptionist, web chat widget, SMS handling, appointment management, knowledge base, analytics, and integrations with third-party calendar and CRM tools.

We reserve the right to modify, suspend, or discontinue any feature of the service at any time with reasonable notice.

Pricing tiers

LocusAI offers tiered subscription plans. Current pricing is shown on our pricing page. We reserve the right to modify pricing with 30 days' notice to existing subscribers.

Free trial

New accounts receive a 14-day free trial with full Professional-tier access. No credit card is required during the trial. At the end of the trial, you must subscribe to continue using the service.

Billing

Refunds

We offer a pro-rata refund if you cancel within 7 days of a new billing period. After 7 days, the billing period is non-refundable. To request a refund, contact billing@locusai.co.uk.

Non-payment

If payment fails, we will attempt to charge your payment method three times over 7 days. If payment is not received, your account will be suspended. Data is retained for 90 days following suspension before being deleted.

LocusAI uses large language models (including OpenAI GPT-4o) to generate responses. You acknowledge that:

Your use of LocusAI is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

You remain the data controller for personal data belonging to your customers. LocusAI acts as your data processor. A Data Processing Agreement (DPA) is available on request.

You are responsible for ensuring you have a lawful basis to process your customers' personal data using LocusAI, and for providing appropriate privacy notices to your customers.

8. Intellectual property

LocusAI retains all intellectual property rights in the platform, including software, design, documentation, and trademarks. Nothing in these Terms grants you any ownership rights in the platform.

You retain ownership of all content you upload or create within the platform (knowledge base entries, business information, etc.). You grant LocusAI a limited licence to process this content to provide the service.

Feedback or suggestions you provide to us may be used to improve the platform without compensation or attribution.

9. Limitation of liability

Important: Please read this section carefully as it limits LocusAI's liability to you.

To the maximum extent permitted by law:

Nothing in these Terms excludes liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.

10. Indemnification

You agree to indemnify and hold harmless LocusAI and its officers, directors, and employees from any claims, damages, or expenses (including legal fees) arising from: (a) your use of the platform in violation of these Terms; (b) your violation of any applicable law; or (c) your infringement of any third party's rights.

11. Service availability and SLA

We target 99.5% monthly uptime for the platform. Scheduled maintenance will be communicated at least 24 hours in advance. We do not guarantee specific response times for the AI during periods of high demand.

Uptime does not include: (a) scheduled maintenance windows; (b) outages caused by third-party providers (Retell AI, Telnyx, OpenAI); (c) outages caused by your misuse of the platform.

12. Term and termination

These Terms remain in effect while you have an active account. Either party may terminate the agreement:

On termination, you may export your data for 90 days. After 90 days, your data will be permanently deleted.

13. Governing law and disputes

These Terms are governed by the laws of England and Wales. Any disputes arising from these Terms will be subject to the exclusive jurisdiction of the courts of England and Wales.

Before initiating legal proceedings, you agree to first contact us at legal@locusai.co.uk and attempt to resolve the dispute informally for a period of 30 days.

14. Changes to these terms

We may update these Terms from time to time. We will provide at least 30 days' notice of material changes via email. Continued use of LocusAI after the effective date of changes constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you may cancel your account before the effective date.
